    Referral Programme Terms and Conditions

    Anyone is welcome to join the Karaoke.co.uk Venues Referral Programme and as a member you are welcome to use our tools as well as any ethical means of promoting our Venue Service.

    To be an authorised Affiliate of the Referral Programme, you agree to abide by the Terms and Conditions contained within this agreement. Please read these Terms and Conditions carefully before completing your registration and using the Referral Programme. By signing up for the Referral Programme, you indicate your acceptance of this agreement and its Terms and Conditions.

    Referral Accounts which are in violation of any rule or in any way abusing the Referral Programme, will be terminated with no prior notice.

    We reserve the right to cancel or modify this programme at any time and for any reason.

    1. Definitions

    “Affiliate” or “You” means any natural or legal person (including any entity, affiliated company, and/or any agency or network acting on its behalf, that has registered with the Referral Programme. who chooses to participate in a affiliate form of the Programme;

    “Commission” means the payments / commissions Yousing make to a Partner in return for gaining venue subscribers for Karaoke.co.uk Venue Service on the terms set out in this agreement;

    “Data” means Data and Information about Subscribers, prospective Subscribers and Users of the Service;

    “Karaoke.co.uk”, “Yousing”, “We”, “Supplier” or “Us” means Yousing limited, owners and operators of Karaoke.co.uk services (registered in England number 10417802);

    “Licensed Materials” means promotional tools such as marketing literature, operational guides, logos, banners, graphic images and similar marketing materials;

    “Platform” means the online web system made available for use by the Affiliate;

    “Service” means the Karaoke.co.uk online Venue Service and all equipment;

    “Site” means the website www.karaoke.co.uk from which the Service is available from;

    “Subscriptions” means the paid for period in which the Venue Subscriber has access to the Service via the Site;

    “Subscribers” and “Venue Subscribers” means any users who have registered to use the Service operating from the Site under any paid for time period;

    “Venue” means the location where the Service shall be installed / operated and whether such installation shall be carried out by the Customer or by the Supplier and shall include all buildings and structures thereon;

    “Venue Service” means the Services and products supplied by Yousing.

    1.2 A reference in these Terms to a provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.

    1.3 The headings in these Terms are for convenience only and shall not affect their interpretation.

    2. General Statements

    2.1 To participate in the Referral Programme the Affiliate:

    • must be at least 18 years old

    • should have an active and verified PayPal account in good standing (PayPal account is not necessary to sign up but it is the only method in which we can pay commission earnings).

    2.2 Registering with the Referral Programme you agree to be bound by these Terms and Conditions and confirm you are at least 18 years of age and are lawfully fit and able to accept these Terms and Conditions.

    3. Affiliate Responsibilities

    3.1 Affiliate shall introduce Karaoke.co.uk Venue Services to prospective Venue customers and will comply with all laws (including an applicable data protection laws) as well those that govern email marketing and anti-spam regulations.

    3.2 Affiliate shall not:

    3.2.1 provide false information in the registration form will result in immediate termination from the Programme and will forfeit all outstanding Referral Commission,

    3.2.2 register any domains names which are identical or similar to Karaoke.co.uk or any other trademarks owned by Yousing,

    3.2.3 represent themselves as personnel of Karaoke.co.uk or Yousing Limited in any circumstances,

    3.2.4 utilise unsolicited bulk email traffic, spam, or other malicious advertising,

    3.2.5 provide a ‘self-referral’,

    3.2.6 provide Venue detail submissions to any Venue that Affiliate has not directly communicated and personally introduced the Venue Service to,

    3.2.7 use Pay per click advertising to bid on brand keywords. This includes “Karaoke.co.uk’ or any variation of our product and/or service names, for example “Karaoke.co.uk Venues”,

    3.2.8 present any kind of cash back scheme, bonus initiative, discount or claim that Venue Subscribers can get any sort of discount by subscribing,

    4. Affiliate’s cooperation

    4.1 Participating in the Referral Programme an Affiliate is entitled to a Referral Fee.

    4.2 For a Venue Subscription to generate an approved associated Referral Fee the Affiliate must:

    4.2.1 Submit the details of a prospective Venue to us using the Referral Submission form within the Account dashboard only.

    4.3 Affiliate with receive a Referral Commission fee from every Venue Subscription that has been associated to the Affiliate and approved by Us. Current Commission fees can be found by viewing the Commissions section from within the Account Platform.

    4.4 Referral Fee may be subject for adjustments for the credit card chargebacks and refunds. Fraudulent or video transactions do not qualify as a basis for Referral Fee.

    4.5 Referral Fees are attributed following approval by us after an Affiliate has submitted details of a prospective venue in the manner set out in 4.2.

    4.6 Referral Fee payments are issued monthly as a combined single payment of any Referral Fees accrued for that monthly period. A Referral Fee payment for any Venue Subscription becomes valid for payment following 31 days from receipt of the Venue Subscription payment and will be paid at the next scheduled Referral Fee payment date.

    4.7 Affiliate will not be entitled to receive any Referral Fees in respect of a Venue Subscriber who:

    4.7.1 We have not Approved to be associated to the Affiliate Account,

    4.7.2 has been introduced in breach of any term of this Agreement or agreement between Yousing and a Venue,

    4.7.3 fails any identity or credit checks carried out by Yousing or on its behalf,

    4.7.4 is located in a territory from which Yousing does not accept Subscribers,

    4.7.5 is suspected by Yousing of acting in breach of these Terms and Conditions governing their account, or any fraudulent or dishonest activity.

    5. Yousing’s Responsibilities

    5.1 Yousing shall agree to pay the Affiliate Referral Fee on Approved Associated Referrals from an Affiliate resulting in an active, paid Venue Subscription.

    5.2 Upon registration Yousing will make available:

    5.2.1 Access to Affiliate Platform, where Affiliate will be able to submit Referrals, review Approved Commission payments and access support.

    5.2.2 Promotional tools such as marketing literature, operational guides, logos, banners, graphic images and similar marketing materials (“Licensed Materials”).

    6. Licence

    6.1 Unless otherwise indicated, all of the Licensed Materials featured or displayed including, but not limited to, text, logo, graphics, data, photography, images, sound and the selection and arrangement thereof is owned by Yousing its licensors, or its third-party partners. All elements on the site are protected by copyright and other laws relating to the protection of intellectual property.

    6.2 Affiliate is granted a non-exclusive, non-transferable, terminable licence to use the Licensed Materials sole for the purpose of the Programme and in accordance with such limitations and restrictions as set out in this Agreement.

    6.3 Affiliate may use the Licensed Materials only for the purposes expressly authorised by Yousing.

    6.4 Affiliate may not:

    6.4.1 modify the Licensed Materials in any manner. For the avoidance of doubt, this includes, but not limited to, changing proportion, colour or font.

    6.4.2 display the Licensed Materials in any manner that implies endorsement of Affiliate’s website or business by Yousing outside of involvement in this Referral Programme,

    6.4.3 use the Licensed Materials in any manner which, in our reasonable judgement, may diminish or otherwise damage our goodwill in the Licensed Materials.

    7. Data Protection

    7.1 Data and information that Subscribers and Affiliates provide to the Service via the Website will be stored within Our Server Infrastructure and We will use such information for purposes including:

    7.1.1 communicating with the Subscriber and Affiliate as necessary to facilitate their use of, and dealing with, the Service;

    7.1.2 providing it to the police and other enforcement agencies for the investigation of fraudulent, criminal, terrorist or other illegal activities; or

    7.1.3 communicating Service notifications and Service specific marketing notifications.

    7.2 The Affiliate consents to Us holding, using and disclosing it for these purposes.

    7.3 The Affiliate agrees to store, process and use any Data and Information relating to Subscribers and Users, prospective or otherwise, in accordance with any relevant regulations and legal requirements, such as (but not limited to) GDPR regulations.

    7.4 It is the sole responsibility of the Affiliate to clearly convey to Subscribers and Users, prospective or otherwise, in any communications as to how the Affiliate data is stored, processed and utilised and to ensure all necessary acceptances are obtained in accordance with any relevant regulations and legal requirements before submitting Data to Us.

    8. Termination

    8.1 We may terminate this Agreement for any reason at any time. Yousing reserves the right to terminate the Agreement immediately and without notice and Affiliate forfeit all Referral Fees if the Affiliate:

    8.1.1 provides false information in the Registration Form, or in any subsequent Forms,

    8.1.2. violates any Affiliate responsibilities stated within this Agreement (including but not limited to 3. Affiliate Responsibilities).   

    8.2 Affiliate is able to cancel Affiliate Referral Programme Account by contacting Support (Details of Support are within the Accounts Platform).

    9. Indemnification

    You agree to indemnify and hold Yousing and its subsidiaries, employees, affiliates, officers, agents, partners and licensors harmless from and against any and all third party demands, claims, liability, loss and expense including damage awards, settlement amounts and reasonable legal fees brought against Yousing or any of the above mentioned parties, arising out of, related to or which may arise from your access to or use of the Site, Your breach or alleged breach of these Terms and Conditions, or your violation of any third-party rights including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right, your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities, or any misrepresentation made by you.

    10. Governing Law

    10.1 The Agreement shall be governed by the laws of England, and the Affiliate agrees to submit to the exclusive jurisdiction of the English courts.
